# SOFTWARE LICENCE AGREEMENT

This Software Licence Agreement (the **"Agreement"**) is entered into between:

**J.G. Development Services**, owned and operated by **Lucas (Discord Tag: jonsey220908.#3260)** (here-in-after known as the **Owner"**and/or **"Licensor"**),

and

Any individual, group, company, community, or organisation who purchases, receives, accesses, installs, or uses the Resource (here-in-after known as the **"User"**, **"Licensee"**).

By purchasing, downloading, installing, accessing, or using the Resource, the User confirms that they have read, understood, and agreed to be bound by this Agreement.

## 1. Definitions

For the purposes of this Agreement:

- **"Resource"** means the proprietary FiveM resource, including but not limited to its source code, scripts, compiled files, configuration files, assets, UI files, database schemas, documentation, updates, patches, and any associated materials supplied by the Owner.

- **"Authorised Use"** means use of the Resource only in the manner expressly permitted under this Agreement and any written permissions granted by the Owner.

- **"Authorised Server"** means the specific server, server environment, or number of deployments expressly approved by the Owner at the time of sale, delivery, or written approval.

- **"Authorised Users"** means only the Licensee and the Licensee's staff or contractors who genuinely need access to install, configure, maintain, or operate the Resource for the Licensee's own Authorised Server.

## 2. Ownership

The Resource is licensed, not sold.

All right, title, and interest in and to the Resource, including all intellectual property rights, copyright, trade marks, branding, source code, structure, organisation, and associated materials, remain the sole and exclusive property of the Owner.

Except for the limited licence expressly granted under this Agreement, no ownership rights or other rights are transferred to the User.

## 3. Licence Grant

Subject to the User's full compliance with this Agreement, the Owner grants the User a **limited, revocable, non-exclusive, non-transferable, non-sublicensable licence** to:

1. install and use the Resource on the Authorised Server(s) only;

2. permit Authorised Users to access the Resource solely for the User's internal server operations;

3. make a reasonable number of backup copies strictly for disaster recovery and restoration purposes; and

4. make configuration-only changes where reasonably necessary to set up and operate the Resource for the User's own Authorised Server(s), provided such changes do not amount to redistribution, resale, derivative commercial exploitation, or removal of ownership notices.

Any use outside this clause is prohibited unless the Owner has given prior written permission.

## 4. Scope of Use

Unless the Owner expressly agrees otherwise in writing, the licence granted under this Agreement:

- is limited to the User's own internal use;

- is limited to the Authorised Server(s) only;

- does not permit shared hosting for third parties, resale hosting, or commercial redistribution;

- does not permit use by any third party outside the Licensee's own organisation or community;

- does not include any right to reproduce, publish, distribute, or commercially exploit the Resource beyond Authorised Use; and

- does not grant any ownership, source code resale, white-label, or sublicensing rights.

## 5. Restrictions

The User shall not, and shall not permit any third party to:

1. copy, duplicate, reproduce, republish, or distribute the Resource except as expressly allowed by this Agreement;

2. sell, resell, sublicense, lease, rent, lend, assign, share, or otherwise make the Resource available to any third party;

3. upload or distribute the Resource to any public or private repository, forum, marketplace, Discord, cloud drive, file-sharing platform, or community platform, except private internal storage used solely by Authorised Users for Authorised Use;

4. reverse engineer, decompile, disassemble, decode, or attempt to derive source logic, structure, or protected implementation details of the Resource, except to the limited extent such restriction cannot lawfully be excluded;

5. remove, alter, hide, or tamper with any copyright notice, licence notice, branding, ownership identifier, watermark, authentication mechanism, or proprietary notice;

6. use the Resource in any way that infringes the Owner's intellectual property rights or the rights of any third party;

7. use the Resource to create, distribute, or sell a competing or substantially similar product derived from the Resource;

8. redistribute edited or partially modified versions of the Resource; or

9. use the Resource in any manner not expressly authorised by this Agreement.

## 6. Permitted Configuration and Integration

The User may make reasonable configuration changes necessary to integrate the Resource into the User's own server environment, including framework setup, item names, keybinds, localisation, database configuration, and similar operational adjustments.

However, unless the Owner has given prior written permission, the User may not:

- commercially exploit modified versions of the Resource;

- distribute modified files to any third party;

- claim modified versions as their own work; or

- remove or replace ownership and licence notices.

## 7. Access, Authentication, and Anti-Piracy Measures

The Owner may use licence keys, account binding, escrow systems, authentication checks, delivery records, or similar technical methods to verify authorised access and protect the Resource.

The User must not bypass, disable, interfere with, or attempt to circumvent any licensing, security, or anti-piracy mechanism.

## 8. Support, Updates, and Upgrades

Unless expressly stated in writing by the Owner at the time of sale or delivery:

- the Owner is under no obligation to provide ongoing support, maintenance, updates, upgrades, compatibility patches, or feature requests;

- any support or updates provided are provided at the Owner's discretion; and

- the Owner may change, suspend, discontinue, or replace any version of the Resource at any time.

Any update or replacement provided by the Owner shall remain subject to this Agreement unless expressly stated otherwise in writing.

## 9. Fees and Payment

Where the Resource is supplied in exchange for payment, the User's licence is conditional upon full and valid payment being received and not being subject to chargeback, reversal, fraud, or unauthorised dispute.

If payment is reversed, refunded, charged back, or found to be fraudulent or unauthorised, the Owner may immediately suspend or terminate the licence and access to the Resource.

## 10. Term and Termination

This Agreement begins on the date the User first purchases, receives, downloads, accesses, installs, or uses the Resource, whichever occurs first, and continues until terminated.

The Owner may suspend or terminate this Agreement, the licence granted under it, and/or the User's access to the Resource immediately if:

- the User breaches any term of this Agreement;

- the Owner reasonably believes the Resource has been copied, leaked, redistributed, shared, or misused;

- the User attempts to bypass licensing or authentication systems; or

- payment relating to the Resource is reversed, disputed in bad faith, or found to be unauthorised.

The Owner may also terminate access where continued access is no longer commercially, technically, or legally viable.

## 11. Effect of Termination

Upon termination or revocation of the licence:

1. all rights granted to the User immediately cease;

2. the User must immediately stop using the Resource;

3. the User must permanently delete and destroy all copies of the Resource in their possession or control, including local copies, hosted copies, backups, archived files, and modified versions, unless retention is required by law;

4. the User must remove the Resource from all servers, storage systems, repositories, and deployment environments; and

5. the Owner may disable access, revoke licence authentication, or take technical measures reasonably necessary to prevent continued unauthorised use.

Termination does not affect any accrued rights, remedies, payment obligations, or claims arising before termination.

## 12. Intellectual Property Enforcement

Any unauthorised use of the Resource may constitute copyright infringement, breach of contract, and misuse of confidential proprietary material.

The Owner reserves the right to take any enforcement action considered appropriate, including but not limited to:

- suspension or termination of access;

- licence revocation;

- takedown notices, including DMCA-style notices where applicable;

- claims for damages, losses, fees, or injunctive relief; and

- civil or criminal referral where permitted by law.

## 13. Confidentiality

The Resource contains proprietary and confidential information belonging to the Owner.

The User shall keep the Resource confidential and shall not disclose it, or any non-public part of it, to any third party except to Authorised Users who require access for Authorised Use and who are bound by confidentiality obligations no less protective than those in this Agreement.

## 14. Warranty Disclaimer

To the maximum extent permitted by applicable law, the Resource is provided **"as is"** and **"as available"**, without warranties, guarantees, representations, or conditions of any kind, whether express, implied, or statutory.

The Owner does not warrant that the Resource will be uninterrupted, error-free, secure, compatible with every framework or dependency, or suitable for the User's particular purpose.

The User is solely responsible for testing the Resource in their own environment before production use.

Nothing in this Agreement excludes any non-excludable rights that cannot lawfully be excluded.

## 15. Limitation of Liability

To the maximum extent permitted by law, the Owner shall not be liable for any indirect, incidental, special, consequential, or punitive losses, or for any loss of profits, revenue, data, goodwill, business opportunity, server uptime, or community activity arising out of or connected with the Resource or this Agreement.

To the maximum extent permitted by law, the total aggregate liability of the Owner arising out of or in connection with the Resource or this Agreement shall not exceed the amount actually paid by the User to the Owner for the Resource in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited.

## 16. Indemnity

The User agrees to indemnify and hold harmless the Owner from and against any claims, losses, liabilities, costs, damages, and expenses (including reasonable legal costs) arising from:

- the User's breach of this Agreement;

- the User's misuse of the Resource;

- the User's unlawful distribution or modification of the Resource; or

- the User's operation of the Resource in violation of any applicable law or third-party rights.

## 17. Assignment and Transfer

The User may not assign, transfer, novate, sublicense, or otherwise dispose of this Agreement or any rights under it without the Owner's prior written consent.

The Owner may assign or transfer this Agreement as part of a business transfer, sale of assets, restructuring, or successor operation.

## 18. Entire Agreement

This Agreement constitutes the entire agreement between the parties in relation to the Resource and supersedes any prior oral or written statements, understandings, or agreements relating to the same subject matter.

## 19. Severability

If any provision of this Agreement is found to be unlawful, invalid, or unenforceable, that provision shall be severed to the minimum extent necessary, and the remainder of the Agreement shall remain in full force and effect.

## 20. No Waiver

A delay or failure by the Owner to enforce any right or provision under this Agreement shall not operate as a waiver of that right or provision.

## 21. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of **England and Wales**, unless the Owner expressly states otherwise in writing.

The courts of **England and Wales** shall have exclusive jurisdiction to hear any dispute arising out of or in connection with this Agreement, except where another forum is required by mandatory law.
